Welcome to Rene London! In these terms, “we”, “us” and “our” mean Vistmere Commerce Ltd, trading as Rene London (company number 17475406, registered in England and Wales, business address Office 7594, 58 Peregrine Road, Hainault, Ilford, Essex, IG6 3SZ, United Kingdom). We run this store and website, including all related information, content, features, tools, products and services, to give you, the customer, a curated shopping experience (the “Services”). Rene London is powered by Shopify, which enables us to provide the Services to you.
The terms and conditions below, together with any policies they refer to (these “Terms of Service” or “Terms”), set out your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully, as they contain important information about your legal rights and cover matters such as warranty disclaimers and limitations of liability. Nothing in these Terms affects your statutory rights as a consumer under UK law.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to them, please do not use or access our Services.

SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms of Service, you confirm that you are at least 18 years old, and that you consent to any minor dependants of yours using the Services on devices you own, buy or manage.
To use the Services, including browsing our online store or buying any of the products or services we offer, you may be asked for certain information, such as your email address and your billing, payment and delivery details. You confirm that all the information you give us is correct, current and complete and that you have every right necessary to provide it.
You are solely responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign or license your account to anyone else.

SECTION 2 - OUR PRODUCTS
We have made every effort to show our products and services accurately in our online store. Please note, however, that colours or product appearance may look different on your screen depending on the device you use and its settings and configuration.
Subject to your statutory rights, we do not guarantee that the appearance or quality of any product or service you buy will match your expectations or be identical to how it is shown in our online store.
All product descriptions may change at any time without notice at our discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any product we offer to any person, geographic region or jurisdiction, on a case-by-case basis.

SECTION 3 - ORDERS
When you place an order, you are making an offer to buy. Rene London may accept or decline your order for any reason at its discretion. Your order is not accepted until Rene London confirms acceptance, and we must receive and process your payment before your order is accepted. Please check your order carefully before submitting it, as Rene London may not be able to accommodate cancellation requests once an order has been accepted; this does not affect your right to cancel under the Consumer Contracts Regulations 2013. If we do not accept, change or cancel an order, we will try to let you know using the email address, billing address and/or phone number you gave when ordering.
Returns and exchanges are handled in accordance with our Refund Policy.
You confirm that your purchases are for your own personal or household use and not for commercial resale or export.

SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions may change without notice. The price charged for a product or service will be the price in force when the order is placed, as shown in your order confirmation email. All prices are in pounds sterling (GBP), and the price shown is the price you pay; standard UK delivery is free.
Prices in our online store may differ from prices offered in physical shops or in online or other stores run by third parties. From time to time we may run promotions on the Services that affect pricing and are governed by their own terms and conditions. If the terms of a promotion conflict with these Terms, the promotion terms will apply.
You agree to provide current, complete and accurate purchase, payment and account information for every purchase made in our store, and to update your account and other information promptly, including your email address and card numbers and expiry dates, so we can complete your transactions and contact you when needed.
You confirm that (i) the card details you provide are true, correct and complete, (ii) you are authorised to use that card for the purchase, (iii) charges you incur will be honoured by your card provider, and (iv) you will pay the charges you incur at the prices shown.

SECTION 5 - SHIPPING AND DELIVERY
All delivery times are estimates. We are not responsible for delays caused by carriers or by events outside our reasonable control. Your order remains at our risk until it is delivered to you (or to someone you nominate), and ownership passes to you once we have received payment in full.

SECTION 6 - INTELLECTUAL PROPERTY
Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video and audio, and the design, selection and arrangement of them, are owned by Vistmere Commerce Ltd, its affiliates or licensors and are protected by UK and international copyright, trade mark and other intellectual property laws.
These Terms allow you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any material on the Services without our prior written consent. Except as expressly set out here, nothing in these Terms grants you a licence or any other right under any patent, trade mark, copyright or other intellectual property of Rene London, Shopify or any third party. All rights not expressly granted are reserved by Rene London.
Rene London's names, logos, product and service names, designs and slogans are trade marks of Vistmere Commerce Ltd or its affiliates or licensors. You must not use them without our prior written permission. Shopify's name, logo, product and service names, designs and slogans are trade marks of Shopify. All other names, logos, product and service names, designs and slogans on the Services belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS
You may be given access to customer tools provided by third parties as part of the Services, which we do not monitor and over which we have no control or input.
You acknowledge and agree that we provide access to such tools “as is” and “as available”, without warranties, representations or conditions of any kind and without endorsement. To the extent permitted by law, we have no liability arising from or relating to your use of optional third-party tools.
Any use you make of optional tools offered through the site is entirely at your own risk and discretion, and you should make sure you are familiar with and happy with the terms on which the relevant third-party provider(s) supply them.
We may also offer new features through the Services in the future (including new tools and resources). Those features will also form part of the Services and be subject to these Terms of Service.

The Services may contain material and links to websites provided or run by third parties (including embedded third-party functionality). We are not responsible for checking or evaluating the content or accuracy of any third-party material or website you choose to visit. We are not liable for any harm or damage relating to your use of any third-party website, or your purchase or use of any products, services, resources or content on any third-party website. Please read the third party's policies and practices carefully and make sure you understand them before entering into any transaction. Complaints, claims, concerns or questions about third-party products and services should be directed to the third party.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

Rene London is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Vistmere Commerce Ltd. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and Rene London, including any injury, damage or loss resulting from products and services purchased. You expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or relating to your purchases and transactions with Rene London.

SECTION 10 - PRIVACY POLICY
All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify's Privacy Policy, which can be viewed here. By using the Services, you acknowledge that you have read these privacy policies.
Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them for you. Information you submit through the Services will be sent to and shared with Shopify, and with third parties that may be located in countries other than the one you live in, in order to provide services to you. If you submit, upload, post, email or otherwise send us any ideas, suggestions, feedback, reviews, proposals, plans or other content (together, “Feedback”), you grant us a perpetual, worldwide, sub-licensable, royalty-free licence to use, reproduce, modify, publish, distribute and display that Feedback in any medium for any purpose, including commercial use. We may, for example, use this licence to operate, provide, evaluate, enhance, improve and promote the Services and to perform our obligations and exercise our rights under these Terms of Service.
You also confirm that: (i) you own or hold all necessary rights to all Feedback; (ii) you have disclosed any payment or incentive you received in connection with your Feedback; and (iii) your Feedback complies with these Terms. We are under no obligation (1) to keep your Feedback confidential; (2) to pay for your Feedback; or (3) to respond to your Feedback.
We may, but are not obliged to, monitor, edit or remove Feedback that we decide, at our discretion, is unlawful, offensive, threatening, defamatory, pornographic, obscene or otherwise objectionable, or that infringes anyone's intellectual property or these Terms of Service.
You agree that your Feedback will not infringe any third party's rights, including copyright, trade mark, privacy, personality or any other personal or proprietary right. You further agree that your Feedback will not contain defamatory or otherwise unlawful, abusive or obscene material, or any computer virus or other malware that could affect the operation of the Services or any related website. You may not use a false email address, pretend to be someone else, or otherwise mislead us or third parties about the origin of any Feedback. You are solely responsible for any Feedback you submit and its accuracy. We accept no responsibility or liability for any Feedback posted by you or any third party.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS
Occasionally information on or in the Services may contain typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, delivery charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate, at any time and without prior notice (including after you have placed your order). If we cancel an order you have already paid for, we will refund you in full.

You may access and use the Services for lawful purposes only. You also agree not to: (a) upload or transmit viruses or any other malicious code that will or may affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, sell, resell or exploit any part of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, pretext, spider, crawl or scrape; or (e) interfere with or get around the security features of the Services or any related website, other websites or the internet. We reserve the right to suspend, disable or close your account at any time, without notice, if we determine that you have breached any part of these Terms.

SECTION 14 - TERMINATION
We may end this agreement or your access to the Services (or any part of them) at our discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.
The following sections continue to apply after termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

SECTION 15 - DISCLAIMER OF WARRANTIES
The information on or provided through the Services is for general information only. We do not guarantee the accuracy, completeness or usefulness of this information, and any reliance you place on it is at your own risk.
Except as expressly stated by Rene London and except for the rights you have as a consumer that cannot be excluded by law (including your rights under the Consumer Rights Act 2015 that goods are of satisfactory quality, fit for purpose and as described), the Services and all products offered through them are provided “as is” and “as available”. We do not guarantee that your use of the Services will be uninterrupted, timely, secure or error-free.

SECTION 16 - LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited under the law of England and Wales, including your statutory rights as a consumer. Subject to that, to the fullest extent permitted by law, Rene London, our partners, directors, officers, employees, affiliates, agents, contractors, service providers and licensors, and those of Shopify and its affiliates, will not be liable for any loss or damage that was not reasonably foreseeable, or for any business losses, including lost profits, lost revenue, lost savings, loss of data or business interruption, arising from your use of the Services or any product obtained through them.

SECTION 17 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless Rene London, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable legal fees, payable to any third party because of or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your breach of any law or the rights of a third party, or (3) your access to and use of the Services.
We will tell you about any claim covered by this indemnity, although a delay in telling you will not release you from your obligations unless it has materially disadvantaged you. We may control the defence and settlement of such a claim at your expense, including choice of legal representation, but will not settle any claim that requires non-monetary obligations from you without your consent (which you will not unreasonably withhold). You will co-operate in the defence of indemnified claims, including by providing relevant documents.

SECTION 18 - SEVERABILITY
If any provision of these Terms of Service is found to be unlawful, void or unenforceable, that provision will still be enforceable to the fullest extent permitted by law, and the unenforceable part will be treated as removed from these Terms of Service without affecting the validity and enforceability of the remaining provisions.

SECTION 19 - WAIVER; ENTIRE AGREEMENT
If we fail to exercise or enforce any right or provision of these Terms of Service, that will not act as a waiver of that right or provision.
These Terms of Service and any policies or operating rules we post on this site or in relation to the Service form the entire agreement and understanding between you and us and govern your use of the Service, replacing any earlier or simultaneous agreements, communications and proposals, whether spoken or written, between you and us (including any earlier versions of the Terms of Service).
Any ambiguity in the interpretation of these Terms of Service will not be construed against the drafting party.

SECTION 20 - ASSIGNMENT
You may not delegate, transfer or assign this Agreement or any of your rights or obligations under these Terms without our prior written consent, and any attempt to do so will be void. We may transfer, assign or delegate these Terms and our rights and obligations, provided this does not reduce your rights as a consumer.

SECTION 21 - GOVERNING LAW
These Terms of Service and any separate agreements under which we provide Services to you are governed by the laws of England and Wales, and the courts of England and Wales have non-exclusive jurisdiction. If you live in Scotland or Northern Ireland, you may also bring proceedings in your local courts.

The headings in this agreement are included for convenience only and do not limit or otherwise affect these Terms.

SECTION 23 - CHANGES TO TERMS OF SERVICE
You can read the latest version of the Terms of Service at any time on this page.
We may, at our discretion, update, change or replace any part of these Terms of Service by posting updates and changes on our website. It is your responsibility to check our website from time to time for changes. We will tell you about any material changes to these Terms as required by law, and those changes will take effect on the date stated in the notice. Changes will not affect orders already placed. Your continued use of or access to the Services after any changes are posted means you accept them.
